TERMS AND CONDITION OF SALES

Nephron Nitrile LLC dba American Armor Gloves is a US Domestic manufacturer of Nitrile Exam and General-Purpose Gloves. The U.S. Government recognizes the company under both the "Nephron Nitrile, LLC" and "American Armor Gloves" names; both refer to the same entity, referred to below as "AAG."

SCOPE: These policies apply only to purchases made directly through americanarmorglovesgovtsales.com. Orders placed through a federal contract vehicle — including GSA Advantage, DLA DAPA, ECAT, DMLSS, or a Blanket Purchase Agreement — are governed by the terms of that contract vehicle and are not covered by these policies.

By placing an order through this portal, Customer agrees to these Terms and Conditions of Sale. Acceptance of delivery also constitutes agreement to these terms.

A. General

1. "AAG" refers to Nephron Nitrile, LLC, doing business as American Armor Gloves. "Customer" refers to the registered, approved account holder placing an order through this portal, and the government agency, military unit, or organization on whose behalf the order is placed.

2. Portal access is restricted to registered users whose accounts have been reviewed and approved by AAG. Customer represents that the individual placing the order is authorized to make purchases on behalf of the organization identified on the account.

3. An order does not create a binding contract until AAG accepts it by issuing an order confirmation or by shipping the Products. AAG may decline or cancel any order, in whole or in part, including for pricing errors, product availability, or inability to verify the purchaser.

4. Product availability, pricing, and specifications displayed in this portal are subject to change without notice prior to order acceptance.

 

 

B. Ordering & Product Information

5. Products sold through this portal are commercial items sold at the prices displayed at the time of order. Prices are visible only to registered, approved account holders.

6. Minimum order quantities apply as indicated on each product page. Products are sold by the case unless otherwise stated.

7. Product specifications, ASTM conformance, FDA registration, and country-of-manufacture (Made in the USA) information are provided on each product page and in the downloadable documentation. Customer is responsible for confirming that the Product selected meets the requirements of its intended application.

 

 

C. Payment

8. Payment is due in full in U.S. Dollars at the time of order unless AAG has expressly approved alternate payment arrangements in writing for the account.

9. Accepted payment methods are those presented at checkout. Card payments are processed by AAG's PCI DSS-compliant payment processor; AAG does not store full payment card data on this website.

10. Where AAG has approved payment by purchase order or invoice for a given account, invoices are payable in full within thirty (30) days of the invoice date unless other terms are stated on the invoice. AAG may suspend or revoke invoice terms for any account at its discretion.

 

 

D. Delivery & Risk of Loss

11. Delivery terms, transit times, and freight charges are as described in the Shipping Policy and as confirmed at checkout. AAG may make partial shipments under special circumstances, otherwise an adjusted PO must be reissued to meet shipment availability.

12. Estimated ship and delivery dates are estimates only and are not guaranteed.

13. Force Majeure. AAG shall not be liable for delay or failure to deliver caused by events beyond reasonable control, including fire, flood, severe weather, labor or material shortages, carrier disruption, governmental action, war, or public-health emergency. AAG may suspend or cancel affected orders and will refund amounts paid for undelivered Products.

 

 

E. Inspection, Warranty & Remedies

14. Customer shall inspect Products upon receipt and notify AAG in writing of any defect, shortage, or discrepancy within thirty (30) days of receipt or discovery, whichever occurs first, using the process described in the Return Policy.

15. AAG warrants that Products conform to the specifications published on the applicable product page at the time of sale. AAG's sole obligation, and Customer's exclusive remedy, for a nonconforming Product is replacement of the Product or refund of the purchase price, at AAG's election.

16. AAG bears no responsibility for defects or damage arising from use inconsistent with published product instructions, improper storage or handling, alteration, normal wear, or any cause other than AAG's own fault.

17. Disclaimer of Other Warranties. To the maximum extent permitted by applicable law, and except as expressly stated above, AAG disclaims all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

18. Limitation of Liability. To the maximum extent permitted by applicable law, AAG shall not be liable for consequential, incidental, special, or indirect damage arising from the purchase or use of the Products. AAG's total liability arising from any order shall not exceed the amount paid by Customer for the Products giving rise to the claim.

 

 

F. General Provisions

19. Compliance. Customer will not resell or distribute Products in any jurisdiction where such sales are restricted or prohibited and will comply with all applicable laws in its use and handling of the Products.

20. Account Use. Customer is responsible for maintaining the confidentiality of its portal account credentials and for all orders placed under its account. Customer will notify AAG promptly of any unauthorized account use.

21. Privacy. Information collected through this portal is used as described in AAG's Privacy Policy.

22. Waiver & Severability. AAG's waiver of any breach does not waive any subsequent breach. If any provision is found invalid or unenforceable, it shall be replaced by the nearest valid, enforceable equivalent, and the remaining provisions remain in full force.

23. Modification. AAG may update these Terms at any time. The version posted at the time an order is placed governs that order.
